1. Agreement to Terms
By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Our Services
Arete Studio provides:
- AI Automation: assistants/chatbots, workflow automations, AI receptionists, internal tools, process automation.
- Lead Generation Systems: scraping/research pipelines (where allowed), enrichment, outreach workflows.
- CRM & Integrations: data sync, routing, pipeline automations, appointment booking workflows.
- Content Marketing Ecosystem: strategy, research, scripting, filming guidance, editing direction, distribution support.
- YouTube workflow automation: optional publishing/upload support using the official YouTube API, when authorized.
Deliverables vary by scope and are defined in your proposal, invoice, or written agreement.
3. Eligibility & Authority
You confirm you have authority to:
- purchase Services for yourself or your organization,
- provide any data you share,
- connect and authorize third-party accounts (YouTube/Google/Meta/CRMs) where required.
4. Client Responsibilities
You agree to:
- provide accurate information and timely approvals,
- ensure you own/have rights to content you provide (videos, music, thumbnails, scripts),
- follow all platform policies (YouTube, Google, Meta, etc.),
- maintain backup copies of critical data unless explicitly handled by us.
5. Acceptable Use (Strict)
You may not use our Services for:
- spam, scams, deception, or misleading claims,
- artificial engagement (fake likes/views/comments), botting, manipulation,
- violating YouTube Community Guidelines, Google policies, or laws,
- unauthorized data scraping or unlawful lead harvesting,
- attempting to bypass API quotas, security, or platform restrictions.
We may refuse, suspend, or terminate service for suspected violations.
6. Client Confidentiality
We keep client materials and business data confidential and do not disclose them except:
- to deliver the service with trusted providers under confidentiality, or
- when required by law.
7. Third-Party Platforms and Changes
Your use of third-party services is governed by their own terms (Google, YouTube, Meta, CRMs,
etc.).
Platforms may change APIs, rules, or quotas at any time, which can affect functionality. We are
not responsible for platform-side changes.
8. OAuth Permissions & Account Access
If your project requires account access:
- you will connect via OAuth where possible,
- you can revoke access anytime,
- you are responsible for maintaining your account security and controlling who has admin rights.
9. Payments, Fees, and Billing (General)
Fees and payment schedules are defined in your proposal/invoice. Unless otherwise agreed:
- work begins after payment or first deposit,
- late payments may pause work,
- third-party tool costs (subscriptions, API services) are typically billed to the client unless included.
10. Revisions and Scope
We work based on the agreed scope. New requests may require:
- additional fees,
- timeline changes,
- a new scope document.
11. Intellectual Property
- You own your pre-existing brand assets and content you provide.
- We own our frameworks, templates, internal tools, and reusable systems unless otherwise agreed in writing.
- Final deliverables are licensed or assigned to you as described in your agreement/invoice (default: you can use deliverables for your business).
12. Disclaimers
Services are provided “as is” and “as available.” We do not guarantee:
- a specific number of leads,
- revenue, views, or growth,
- algorithm outcomes,
- uninterrupted access (due to platform limits, API quotas, outages).
13. Limitation of Liability
To the maximum extent permitted by law, Arete Studio will not be liable for indirect, incidental, special, consequential damages, or lost profits, lost data, or business interruption.
14. Termination
Either party may end services per the agreement terms. We may suspend/terminate immediately if:
- there is suspected policy abuse,
- security risks arise,
- unauthorized access attempts occur,
- required payments are not made.
15. Data Handling After Termination
Upon request, we can:
- return client files you provided (where feasible),
- delete stored client data per our Privacy Policy (unless retention is legally required).
16. Governing Law
These Terms are governed by the laws of [Your Country/State], unless a separate written agreement states otherwise.

A1) Third-party services (Google/YouTube)
Your use of Google/YouTube services is also governed by Google and YouTube’s terms and policies. You acknowledge that Google/YouTube may change their APIs, quota, or requirements, which can affect functionality.
A2) OAuth permissions and access
If you connect a Google account, you grant us permission (via OAuth consent) to perform the actions you approve (e.g., uploading videos). You may revoke access anytime through your Google Account settings.
A3) Acceptable use for YouTube automation
You agree not to use our Services for spam, artificial engagement, or uploading content that violates YouTube Community Guidelines, copyright rules, or applicable laws.
